Merchant of Record

Payments, invoicing, and tax handling are operated by Paddle.com Market Ltd.

1. Definitions

“Steerway” means Steerway SAS, a French Société par Actions Simplifiée, registered under R.C.S. Dijon 933 643 942, with its registered office at 64 A Rue Sully, 21000 Dijon, France.

“Service” means the Steerway cloud-based AI code assistant, including APIs, AI inference services, the web dashboard, integrations, and all related features.

“Plugin” means any Steerway extension, plugin, or integration released for IDEs including VSCode, JetBrains IDEs, and others.

“Customer” means any individual developer or business entity purchasing or using the Service.

“Subscription” means the recurring subscription plan purchased via Paddle.

“Seat” means one machine activation under a Subscription.

“AI Output” means code or content generated by the Service.

“Subprocessor” means a third-party provider engaged by Steerway for hosting, processing, or infrastructure.

“Merchant of Record” means Paddle.com Market Ltd., which processes payments, issues invoices, and handles applicable taxes.

2. Purpose and Acceptance

These Terms govern access to and use of the Service and Plugins.

By purchasing or using Steerway, the Customer accepts these Terms.

3. Nature of the Service

Steerway provides AI-powered developer assistance through cloud infrastructure, proprietary fine-tuned models based on open-source LLMs, and multi-editor plugins.

The Service is delivered digitally and made available immediately upon purchase.

4. Paddle as Merchant of Record

Paddle.com Market Ltd. acts as the Merchant of Record for all purchases of the Service.

Paddle handles payment processing, billing, invoices, receipts, and applicable tax collection.

By purchasing a Subscription, the Customer enters a contractual relationship with Paddle regarding the payment transaction.

Any billing issues, payment questions, or refund requests must be directed to Paddle via the invoice link or https://paddle.net.

Steerway does not store or process payment information.

5. Account and Subscriptions

The Service is provided as a recurring subscription via Paddle.

Subscriptions renew automatically unless cancelled before the renewal date.

Customers may cancel anytime; cancellation applies to the next billing period.

Customers acknowledge that digital services begin immediately upon purchase and waive any right of withdrawal where permitted by law.

6. Seats, Activations & Usage Restrictions

Subscriptions include Seats, representing machine activations.

Customers may not exceed Seat limits or bypass activation.

Steerway grants a limited, non-exclusive, revocable license to install and use Plugins during the Subscription.

Prohibited: reverse-engineering, circumventing licensing, unlawful use, infrastructure abuse.

Forbidden: using Steerway’s model outputs or internal architecture to train or improve competing AI models.

Allowed: benchmarking, academic research, performance comparisons.

7. Payments, Pricing & Refunds

All payments are processed by Paddle (Merchant of Record).

All sales are final and non-refundable except where legally required.

8. AI Outputs and Ownership

Customers own all AI Output and may use it for any lawful purpose.

Steerway provides no warranties regarding the correctness, safety, originality, or usefulness of AI Output.

Customers are fully responsible for reviewing and validating output.

Steerway is not liable for any direct or indirect damages arising from AI Output, including use in production or deployment.

9. Data Processing and Privacy

Steerway does not keep any of your prompts or code. Everything you send is used only to generate results and is not stored, keeping your data private and GDPR-compliant.

Hosting occurs in the EU.

Steerway uses subprocessors for GPU hosting and training; list available upon request.

Steerway implements reasonable security measures, including encryption in transit and access controls.

Inputs are processed only transiently and are not retained except where strictly necessary for security, fraud prevention, debugging, or legal compliance.

No training is performed on user prompts or code.

10. Acceptable Use Policy

Customer must not use Steerway to generate harmful code, perform illegal activities, disrupt systems, or breach regulations.

11. Service Availability

Service is provided on a best-effort basis and may experience temporary downtime.

12. Intellectual Property Rights

Steerway retains rights to the Service, Plugins, proprietary models, algorithms, and documentation.

13. Export Controls

Use of Steerway is prohibited in sanctioned jurisdictions.

14. Termination

Steerway may suspend or terminate the Service for breach, fraud, security risks, or non-payment.

No refunds upon termination.

15. Liability and Code Responsibility (Developer-Friendly Clause)

15.1 Use at Your Own Risk

Our plugin is designed to assist developers, not replace them.

Any code, suggestions, or snippets generated by the plugin are provided as-is, without warranties of any kind.

15.2 Your Responsibility

• You, the developer, are responsible for reviewing, testing, and validating any code produced before using it in production.
• Do not rely solely on the plugin for correctness, security, or completeness of your code.

15.3 Limitation of Liability

• Maximum liability: Steerway’s total liability is limited to the amount you paid for the service in the past 12 months.
• No liability: Steerway is not liable for indirect, incidental, or consequential damages, including loss of revenue, missed contracts, or other knock-on effects.

15.4 Indemnification

Customers agree to indemnify Steerway against claims arising from their use of AI Output in violation of these Terms or applicable law. This includes any claim arising from deploying, distributing, or publishing AI-generated code.

15.5 Human-in-the-Loop Philosophy

By using the plugin, you acknowledge that it is a developer assistant tool, and responsibility for the final code remains with you.

Remember: Steerway is designed to empower, not replace, you. Not a robot buddy, an exoskeleton.

16. Governing Law

These Terms are governed by French law.

Exclusive jurisdiction: Courts of Dijon, France.

17. Miscellaneous

Invalid provisions do not affect remaining terms.

Electronic logs constitute admissible evidence.

Steerway may update these Terms at any time. Continued use of the Service after updates constitutes acceptance of the new Terms.
